TERMS OF SERVICE

These Terms of Service (“Terms”) are a legal agreement between you and Pathways 2 Impact Consulting, LLC (“Pathways 2 Impact,” “we,” “us,” or “our”) governing your access to and use of www.pathways2impact.co and any services, products, or content we offer (collectively, the “Services”). By accessing the Site, purchasing from us, or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

Our services
We offer consulting and advisory services, ongoing engagements or retainers, and digital products such as guides, courses, and downloadable materials. The specific scope, deliverables, and price of any engagement will be described at the point of sale or in a separate proposal, statement of work, or agreement, which becomes part of these Terms for that engagement.

Purchases, payment, and billing

Payment processing. Payments are processed securely through Stripe. By providing payment information, you authorize us and Stripe to charge the applicable amounts to your selected payment method.
One-time purchases. For one-time services or products, payment is due at the time of purchase or as otherwise stated in your proposal or invoice.
Recurring billing. If you purchase a retainer, subscription, or other recurring service, you authorize us to charge your payment method on a recurring basis (for example, monthly) until you cancel. Cancellation terms are described in our Refund & Cancellation Policy.
Taxes. Prices do not include taxes unless stated. You are responsible for any applicable taxes.
Failed payments. If a payment fails or is reversed, we may suspend or discontinue the Services until payment is resolved.

Pricing and changes
We may change our prices and offerings at any time. Any price change will not affect an engagement you have already paid for, and for recurring services we will provide reasonable advance notice before a price change takes effect.

Refunds
Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

Digital products license
When you purchase a digital product, we grant you a limited, personal, non-exclusive, non-transferable license to use it for your own individual or internal business purposes. You may not resell, redistribute, publicly share, or create derivative works from our digital products without our written permission.

Intellectual property
All content on the Site and in our Services — including text, materials, frameworks, logos, and branding — is owned by us or our licensors and is protected by intellectual property laws. Except for rights expressly granted to you, we retain all rights, title, and interest in our content and Services.

Acceptable use
You agree not to misuse the Services, including by: violating any law; infringing our or others'; intellectual property; attempting to gain unauthorized access to the Site or its systems; interfering with the Site's operation or security; or using the Services to transmit harmful or unlawful content.

Third-party services
The Services rely on third-party providers such as Stripe, Calendly, ActiveCampaign, and Wix. Your use of those services may also be subject to their own terms, and we are not responsible for third-party services we do not control.

Disclaimers
The Services and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific result, outcome, income, or benefit from our consulting, coaching, or digital products. Your results depend on many factors within your own control.

Limitation of liability
To the fullest extent permitted by law, Pathways 2 Impact and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the specific service or product giving rise to the claim in the twelve (12) months before the claim arose.

Indemnification
You agree to indemnify and hold harmless Pathways 2 Impact and its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorney' fees) arising out of your misuse of the Services or your violation of these Terms.

Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Georgia, and you consent to the jurisdiction of those courts.

Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination — such as intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
